1. Agreement

These Terms of Service (the “Terms”) are a legal agreement between you (or the entity you represent) and [LEGAL INPUT REQUIRED: official registered legal entity name] (“Valori”, “we”, “us”), the operator of Valori Cloud (the “Service”) at valori.systems. By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

2. The Service and beta status

Valori provides a hosted vector database and API with cryptographically verifiable state. The Service is currently offered as a public beta. Beta features may change, be limited, or be discontinued, and are provided without any service-level commitment (see Section 9).

3. Accounts and eligibility

  • You must be at least 18 years old and able to form a binding contract.
  • You are responsible for the accuracy of your account information and for all activity under your account.
  • You are responsible for safeguarding your API keys and credentials. Notify us promptly at [LEGAL INPUT REQUIRED: security contact email (e.g. security@valori.systems)] if you suspect unauthorized use.

4. Acceptable use

Your use of the Service must comply with our Acceptable Use Policy, which is incorporated into these Terms. We may suspend or terminate access for violations, or where continued use poses a security, legal, or operational risk to the Service or other customers.

5. Customer data and ownership

  • You retain all rights to the data, vectors, metadata, and content you submit to the Service (“Customer Data”). You grant Valori a limited licence to host, process, and transmit Customer Data solely to provide and support the Service.
  • Valori owns the Service, its software, and the deterministic kernel, including all improvements. No rights are granted to you except the right to use the Service under these Terms.
  • You are responsible for having the necessary rights and lawful basis to submit Customer Data.

6. Fees and billing

Builder (free-tier) access is provided at no charge during the beta. Paid plans, where offered, are billed through our payment processor (Stripe) on the terms shown at checkout. Fees are non-refundable except where required by law. We may change pricing on notice; changes do not apply to a billing period already paid for.

7. Free-tier limits and inactivity

Free-tier projects are subject to the resource limits published on our pricing page and may be suspended after a period of inactivity. Suspended projects and their data may be permanently deleted if not reactivated within the period stated in our communications.

8. Privacy

Our handling of personal data is described in the Privacy Policy. Where Valori processes personal data on your behalf as a processor, the parties will enter into a data processing addendum ([LEGAL INPUT REQUIRED: legal contact email (e.g. legal@valori.systems)]).

9. Service levels and availability

During the beta the Service is provided “as is” with no uptime guarantee, support commitment, or service-level agreement. We may modify, suspend, or discontinue any part of the Service at any time.

10. Disclaimers

To the maximum extent permitted by law, the Service is provided without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Valori does not warrant that the Service will be uninterrupted, error-free, or that it will meet your requirements.

11. Limitation of liability

To the maximum extent permitted by law, Valori will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for loss of profits, revenue, or data. Valori’s total aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the amounts you paid to Valori in the twelve months before the claim, or (b) USD 100.

12. Indemnification

You will defend and indemnify Valori against third-party claims arising from your Customer Data or your use of the Service in breach of these Terms or applicable law.

13. Term, suspension, and termination

  • These Terms apply while you use the Service. You may stop using the Service and delete your account at any time.
  • We may suspend or terminate your access for breach of these Terms or the Acceptable Use Policy, for non-payment, or to protect the Service or other users.
  • On termination, your right to use the Service ends. We will make Customer Data available for export for a limited period, after which it may be deleted in accordance with the Privacy Policy.

14. Changes to these Terms

We may update these Terms. Material changes will be notified by email or an in-product notice before they take effect. Continued use after the effective date constitutes acceptance.

15. Governing law and disputes

These Terms are governed by the laws of [LEGAL INPUT REQUIRED: governing-law jurisdiction (e.g. State of Delaware, USA)], without regard to conflict-of-laws rules.
